1. Who You Are Contracting With
Protein Market Terminal("the Service", "we", "us") is operated by 1001744194 Ontario Inc., a company incorporated in Ontario, Canada, with a mailing address at PO Box 99900 ZS 086 994, RPO Castlewood, Toronto ON M5N 0A5. These terms are an agreement between you and 1001744194 Ontario Inc..
By creating an account or using the Service you agree to these terms, our Privacy Policy, and our Market Data Disclaimer. If you do not agree, do not use the Service.
2. Service Description
The Service is a market data platform that aggregates, displays, and analyzes agricultural market data for the meat and protein industry, drawn principally from public government sources in the United States and Canada. It includes report data, AI-generated market summaries, price projections, visualizations, and a natural language query assistant.
The Service is an information tool. It is not a broker, exchange, clearing house, trading platform, or advisory service, and we are not registered as an investment adviser, commodity trading adviser, or dealer in any jurisdiction.
3. Eligibility
You must be at least 18years old and legally able to enter a contract. If you use the Service on behalf of a company, you confirm you are authorized to bind that company to these terms, and "you" means both you and that company.
4. Accounts & Authentication
Creating an account requires your first name, last name, and a valid email address. We email you a one-time activation link; you follow it to set a password. After that, you sign in with your email address and password. If you forget your password, we email you a one-time reset link.
Activation and reset links expire and can only be used once. You are responsible for keeping your password confidential, for maintaining the security of the email account that can reset it, and for all activity under your account. Accounts are for one person — do not share credentials. Tell us promptly if you suspect unauthorized use.
5. Subscription Tiers & Billing
The Service offers a free tier and a paid tier. Free accounts have access to a limited set of features. Paid subscriptions unlock additional data, projections, and AI features. Current pricing and the features included at each tier are shown on our pricing page and at the time of purchase.
Payment.Payment is processed by Stripe. We do not receive or store your card details. Your use of Stripe's checkout is also subject to Stripe's own terms.
Renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price, until cancelled.
Cancellation. You may cancel at any time by emailing admin@proteinterminal.com from the address on your account. We will process it promptly. Cancellation stops future renewals and takes effect at the end of the period you have already paid for; you keep access until then. Self-service cancellation from your account settings is not yet available — until it is, email is the way to do it, and we will not treat a cancellation request as late because you could not find a button.
Refunds. We do not generally refund partial billing periods. This does not limit any refund, cancellation, or other remedy you are entitled to under consumer protection legislation that cannot be waived by agreement, and nothing in these terms is intended to override those rights.
Price changes.We may change prices. We will give registered users at least 30 days' notice by email before a change affects your renewal, so you can cancel first if you prefer.
Taxes. Prices exclude applicable sales taxes unless stated otherwise. Where we are required to collect tax, it is added at checkout.
6. Acceptable Use
You agree not to:
- Scrape, crawl, or systematically download data from the Service
- Redistribute, resell, republish, or sublicense data or content obtained from the Service
- Use automated tools, scripts, or headless browsers to access the Service beyond normal interactive use
- Share your account credentials, or allow more than one person to use one account
- Attempt to circumvent access controls, tier restrictions, or rate limits
- Use the Service to build or operate a competing data service
- Submit prompts to the AI assistant designed to extract data your tier does not include, to reach other users' data, or to execute database operations other than reading the market data you are entitled to
- Interfere with the operation, integrity, or security of the Service, or probe it for vulnerabilities without our written permission
- Use the Service in violation of applicable law, including sanctions and export controls
We apply rate limits and may suspend access that threatens the stability of the Service. We have no public API; if you want programmatic access, ask us.
7. Data Accuracy
Market data displayed on the Service is sourced from the USDA, the CFTC, Statistics Canada, Agriculture and Agri-Food Canada, and other public sources listed in our Market Data Disclaimer. While we aim to present accurate and timely data, we make no warranty as to completeness, accuracy, or timeliness, and source agencies may revise, delay, or withdraw their data without notice.
AI-generated summaries, projections, and analysis are automated estimates. They are not investment advice, trading recommendations, or guarantees of future performance, and they can be wrong. Verify anything you intend to act on against the official source. The Disclaimer forms part of these terms.
8. Intellectual Property
Underlying government market data is public domain or licensed from its source agency. Our selection, arrangement, and presentation of that data, together with our AI-generated summaries, price projections, visualizations, analysis tools, database schema, software, and the design of the Service, are our intellectual property or that of our licensors.
While your subscription is active we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business purposes. You may take reasonable internal extracts — a chart in an internal presentation, figures in an internal report — but you may not copy, reproduce, redistribute, or publish our content externally without written permission.
If you believe content on the Service infringes your copyright, email admin@proteinterminal.com identifying the work, the location on the Service, and your contact details, and we will investigate and remove infringing material where appropriate.
9. Availability
We do not promise uninterrupted availability. The Service depends on upstream government data sources and third-party providers we do not control, and on scheduled data fetches that can fail or be delayed when a source agency changes its release schedule or its systems are unavailable. We may also take the Service down for maintenance.
We offer no uptime guarantee, service credits, or service level agreement. Do not use the Service as the sole input to a time-critical decision.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, in which case those exclusions do not apply to you.
11. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or trading losses, arising from your use of the Service — including any decision made on the basis of data, projections, or AI analysis it provided.
Our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the amount you actually paid us in the twelve months before the event giving rise to the claim, or (b) CAD $100.
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud or for death or personal injury caused by negligence, or any non-waivable rights you have under consumer protection legislation.
12. Indemnity
You agree to indemnify us against claims, losses, and reasonable legal costs arising from your breach of these terms, your misuse of the Service, or your redistribution of content obtained from it in breach of section 8.
13. Suspension & Termination
We may suspend or terminate your access if you breach these terms, if your payment fails, if your use threatens the security or stability of the Service, or if we are required to by law. Where circumstances allow, we will warn you first and give you a chance to fix the problem. If we terminate a paid account without cause, we will refund the unused portion of your current billing period.
You may stop using the Service at any time. To close your account and have your personal information deleted, email admin@proteinterminal.com from the address on your account; we action deletion requests within 30 days, as described in our Privacy Policy. Self-service account deletion is not yet available in your account settings.
Sections 8, 10, 11, 12, and 15 survive termination.
14. Changes to These Terms
We may update these terms. The version number and date at the top of this page will change. We will email registered users at least 14 days before material changes take effect. Continuing to use the Service after that point constitutes acceptance; if you do not accept, cancel before the change takes effect.
15. General
Governing law. These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws rules. Disputes will be heard in the courts of the Province of Ontario, Canada, and you and we each consent to that jurisdiction. If you are a consumer, this does not deprive you of the protection of the mandatory laws of your own place of residence, or of your right to bring proceedings there where local law gives you that right.
Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including outages at upstream data sources, hosting or network failures, natural disasters, labour disputes, or government action.
Assignment. You may not assign these terms without our consent. We may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets, on notice to you.
Severability and waiver. If any provision is held unenforceable, the rest remains in force and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it.
Entire agreement. These terms, together with the Privacy Policy and the Market Data Disclaimer, are the entire agreement between you and us regarding the Service, and supersede any prior version of these terms.
